1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Notu application ("Service") operated by HQ-APPS Adrian Jeż ("we," "us," or "our"). By downloading, installing, or using Notu, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Notu is a multiplatform learning and productivity application that provides:

• Note-taking with rich text editing (Markdown support)
• AI-powered chat tutor and quiz generation
• Spaced repetition learning system
• Brain training cognitive games
• Calendar integration and event management
• Voice recording and playback
• PDF import and export
• Project and folder organization
• Biometric authentication

The Service is available on Android, iOS, and Desktop platforms.

3. Account Registration

• You must create an account to use certain features of the Service.
• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 13 years old (or the age of digital consent in your jurisdiction) to create an account.

4. Subscriptions & Payments

4.1 Free & Premium Tiers

Notu offers a free tier with core features and a Premium subscription with additional capabilities. The free tier includes basic note-taking, limited AI interactions, and access to selected brain games.

4.2 Premium Subscription

• Premium subscriptions are billed on a monthly or annual basis, as selected at the time of purchase.
• Payment is processed through the Google Play Store (Android) or Apple App Store (iOS) using your store account.
• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Prices may vary by region and are displayed in your local currency at the time of purchase.

4.3 Cancellation & Refunds

• You may cancel your subscription at any time through the Google Play Store or Apple App Store settings.
• Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until then.
• Refunds are subject to the policies of Google Play or the Apple App Store. We do not process refunds directly.
• No refunds are provided for partial billing periods.

4.4 Price Changes

We reserve the right to adjust subscription pricing. You will be notified of any price changes at least 30 days in advance. Continued use of the Premium subscription after a price change constitutes acceptance of the new price.

5. User Content

5.1 Ownership

You retain full ownership of all content you create within Notu, including notes, recordings, projects, and any other materials ("User Content"). We do not claim any ownership rights over your User Content.

5.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service (e.g., syncing data, generating AI responses from your notes, creating quizzes). We will not use your content for any other purpose.

5.3 Prohibited Content

You agree not to use the Service to create, store, or distribute content that:

• Is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Infringes upon the intellectual property rights of others.
• Contains malware, viruses, or other harmful code.
• Violates any applicable laws or regulations.

6. AI Features Disclaimer

• AI-generated content (tutor responses, quiz questions, suggestions) is provided for informational and educational purposes only.
• AI responses may contain inaccuracies or errors. You should not rely on AI-generated content as the sole source of truth for academic, professional, or critical decisions.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• AI features may be modified, improved, or temporarily unavailable as we update the system.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to develop a competing product.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated scripts or bots to interact with the Service.
• Interfere with or disrupt the Service or its servers.
• Share your account credentials with others or allow others to access your account.
• Use the Service in any way that violates applicable laws or regulations.

8. Intellectual Property

The Service, including its design, features, code, logos, icons, and documentation, is the property of HQ-APPS Adrian Jeż and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Availability & Modifications

• We strive to keep the Service available 24/7 but do not guarantee uninterrupted access.
• We may perform maintenance, updates, or modifications that temporarily affect availability.
• We reserve the right to modify, suspend, or discontinue any feature of the Service at any time.
• We will provide reasonable notice before discontinuing core features that materially affect your use.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any loss of data, academic performance outcomes, or decisions made based on AI-generated content.

11. Indemnification

You agree to indemnify, defend, and hold harmless HQ-APPS Adrian Jeż and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any User Content you create or distribute through the Service.

12. Termination

• You may terminate your account at any time by contacting us or through the app settings.
• We may suspend or terminate your account if you violate these Terms.
• Upon termination, your right to use the Service ceases immediately.
• You may request export of your data before termination using the app's PDF export feature.
• We will delete your account data in accordance with our Privacy Policy.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first at root.hqapps@gmail.com to resolve any issues informally.
• Governing Law: These Terms are governed by the laws of Poland, without regard to conflict of law principles.
• Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of Katowice, Poland.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HQ-APPS Adrian Jeż regarding the use of Notu.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of this page.
• Displaying a notice within the app.
• Sending a notification for significant changes.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
